The terms and conditions of this Agreement are as follows:

1.

How Vintage-Reprints.com Operates:

1.1

The method by which visitors shall be directed to Vintage-Reprints.com site is known as an internet "hypertext transfer" link. Vintage-Reprints.com will let you decide how to send traffic. We recommend that you use one or more of our strategically designed banners or sales tools to promote our products, but you may choose between a banner link, product link, text link or you may use our build-a-link feature to create unique links to individual pages, categories or products.

1.2

Upon sign-up you will receive an e-mail confirming your participation. This welcome e-mail contains the URL to which you will link from the banner(s) appearing at your site. You must use the URL provided to you in order to receive credit to your account. Spamming is not allowed and will be cause for your account to be terminated without notice. All affiliate earnings made by spam will not be payable. Here is your warning. If you spam you do not get paid. Vintage-Reprints.com maintains a Zero tolerance to spam of any kind to any organization. This includes affiliates who spam to AOL or any other agencies or organizations that do not allow spamming. Affiliates who Spam to AOL will not be tolerated and will be terminated from Vintage-Reprints.com program and will not be paid on any such Accounts.

1.3

Upon sign-up you will be asked to enter a User Name and Password. Please remember it, as you will need it in order to access your Account Statistics. You may access your Account Statistics by choosing the appropriate link on Vintage-Reprints.com Home Page.

1.4

Your commission shall be earned on each "purchase," which occurs when a user enters Vintage-Reprints.com site with an IP address that has not been identified before and falls within the parameters defined by Vintage-Reprints.com.

2.

Site Owner/Operator Obligations:

2.1

You are required to enter a Federal Tax ID or Social Security Number on the registration form. Vintage-Reprints.com will register a 1099 for all US domestic entities or a 1042-s for all foreign entities to whom we issue combined yearly payments of $600.00 or more.

3.

Rights Granted:

3.1

Vintage-Reprints.com grants to the person or entity, who is the owner/operator of an Internet site (hereinafter "site Operator") the non-exclusive right to direct (refer) users or visitors to their Web site to Vintage-Reprints.com Web Site.

3.2

Vintage-Reprints.com grants to site Operator a limited, non-exclusive, nontransferable license, during the term of this Agreement, to use graphics, including banners, and other intellectual properties (hereinafter "marks") owned by Vintage-Reprints.com for the sole purpose of marketing, advertising and promoting Vintage-Reprints.com Site. The site Operator may not alter or modify the link or banner, or any other marks, in any way, without the prior permission of Vintage-Reprints.com.

3.3

The rights granted herein shall be for reasonable, appropriate and lawful use, only.

3.4

Vintage-Reprints.com reserves the right to terminate any webmaster from the program at Vintage-Reprints.com sole discretion at any time and without warning. If your account is terminated, you will be notified to remove links. If, however, our links continue to generate sales after notice of termination, Vintage-Reprints.com will not pay you any commission for those sales.

3.5

Participation in the Vintage-Reprints.com affiliate program does not, by any means, represent an ongoing partnership with Vintage-Reprints.com or any of its subsidiaries. As long as you are a member in good standing, you will be paid consistently and on time.

4.

Site Operator Commission:

4.1

Commissions shall be paid on a once a month basis, except that commissions must reach a minimum of twenty-five dollars ($25.00) before a payment will be issued. All payments will be made by check in US dollars, between the 15th and the 30th of the following month or by PayPal if requested.

5.

Representations and Warranties:

5.1

You, as site Operator, warrant and represent that you own or operate a lawful and otherwise valid Internet Web site. You further represent that you have the requisite power and authority to enter into this Agreement and perform the obligations set forth herein and that you are an adult at least eighteen (18) years of age; that performance under this Agreement does not and will not constitute a breach of any existing contract or obligation undertaken by you; and that there are no outstanding orders, judgments, decrees, rules or regulations which would preclude you from entering into this Agreement. You shall indemnify Vintage-Reprints.com and its shareholders, officers, directors, employees and assigns against any loss, damage, liability (including reasonable legal fees) which result from the use of any Vintage-Reprints.com materials not expressly authorized by this Agreement.

6.

Disclaimer and Limitation of Liability:

6.1

Vintage-Reprints.com makes no warranties, either express or implied, with regard to the performance of the link or the content of Vintage-Reprints.com Site and Vintage-Reprints.com expressly disclaims any warranties, including that of merchantability or fitness for a particular purpose. Vintage-Reprints.com shall not be held liable to the site Operator or any other person or entity, including users of Vintage-Reprints.com products or services, for any losses, injuries or damages of any kind, arising from or in connection with any mistakes, omissions, delays, errors, interruptions in the transmission or receipt of Vintage-Reprints.com products, services or content.

6.2

Nothing in this Agreement shall be construed as to create a partnership, agency or employment relationship between you and Vintage-Reprints.com.

6.3

Vintage-Reprints.com affiliate program is NOT a multi-level marketing (MLM) program. It is an affiliate tracking system. You will not receive credit or monetary remunerations for webmasters you refer to Vintage-Reprints.com affiliate program.

7.

Term and Termination of Agreement:

7.1

The term of this Agreement shall be indefinite. Vintage-Reprints.com reserves the right to terminate this Agreement at any time, without cause. Delivery of notice via e-mail shall be considered sufficient notice to you.

7.2

Upon termination of this Agreement you shall immediately cease using Vintage-Reprints.com marks and remove Vintage-Reprints.com banner(s) or links from your site.

7.3

Any warranties, indemnities and obligations, which by their nature are designed to survive termination, shall extend beyond the termination of this Agreement.

7.4

Upon termination of this Agreement you shall be entitled to all unpaid commissions earned prior to the date and hour of termination. However, you shall not be entitled to receive commissions for referrals delivered after the date of termination.

7.5

Vintage-Reprints.com reserves the right to terminate Vintage-Reprints.com affiliate from the Program without advance notification for any reason. In such case you will be notified by e-mail immediately and paid for earnings accumulated up to that point in in time.

8.

Acceptance and Execution of Agreement:

8.1

By filling out and submitting the sign-up form, you are agreeing to be bound by the terms of this Agreement and Vintage-Reprints.com is agreeing to become counter-party to the Agreement. The date of execution shall be the date on which the form is forwarded to Vintage-Reprints.com

8.2.

Accounts that are shut down for spam or non-compliance with our "Family Friendly" policy will not be paid. We do not allow spam on our network. Those affiliates who do spam will be immediately terminated and will not be paid for sales generated from spam.

9.

Accounts from the following countries will not be paid BULGARIA, INDONESIA, IRAQ, IRAN, LEBANON, BELGIUM, YUGOSLAVIA, SLOVENIA, RUSSIAN FEDERATION, ROMANIA, JORDAN, MALAYSIA, TURKEY
